Terms of Use

1. Acceptance and who we are

These Terms of Use (“Terms”) govern your access to and use of baipar.com and the services made available through it (together, “Baipar”). Baipar is operated by Baipar Inc., a Canadian company based in Mississauga, Ontario.

By creating an account, submitting or claiming a listing, posting content, or otherwise using Baipar, you agree to these Terms. If you use Baipar on behalf of a business, organization or other entity, you confirm that you have authority to bind that entity. If you do not agree, do not use the relevant service.

Certain features may have additional terms shown at the point of use or purchase. If additional terms conflict with these Terms for that feature, the more specific terms govern to the extent of the conflict. Nothing in these Terms limits rights that cannot legally be waived, including applicable consumer rights.

2. What Baipar does

Baipar is a marketplace and discovery platform. It may provide listings and discovery tools for businesses, professionals, organizations, nonprofits, associations, community groups, institutions, venues, attractions, faith organizations, sports clubs and teams, government or public services, events and other public-facing entities.

Some listings are submitted or managed by their owners or authorized representatives. Baipar may also create or enrich unclaimed listings from public-facing sources. A listing being present on Baipar does not necessarily mean that the listed entity created, endorsed or verified the listing.

3. Accounts and account security

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for activity through your account unless it results from Baipar’s own failure to use reasonable security measures. Tell us promptly if you believe your account has been compromised.

You may not impersonate another person or entity, create an account using information you are not entitled to use, or misrepresent your relationship with a listed entity. Baipar may require reasonable information to verify identity, authority or listing ownership where necessary.

4. Listings, claims and corrections

If you submit, claim or manage a listing, you are responsible for keeping the information you control accurate, lawful and reasonably current. You may only claim or manage a listing if you are authorized to act for the entity represented.

Baipar may research, create, classify, enrich, merge, update or remove unclaimed listings using public sources. We try to support researched information with reasonable public evidence, but public information can be incomplete, outdated or wrong. Baipar does not guarantee that every listing is complete or error-free.

Baipar may distinguish between owner-submitted or owner-verified information, Baipar-researched/public-source information, imported information and information that has not been publicly verified. Importing or matching public information is not the same as owner verification.

A listed entity or affected person may request a correction, claim review or appropriate removal of personal information. Baipar may ask for reasonable evidence before transferring control of a listing or changing disputed information. Baipar may preserve non-personal public entity information as an unclaimed listing even if an account is closed or a prior claimant stops managing it.

5. Google Maps ratings and other user content

Baipar does not accept, host, moderate or publish user reviews. Where available, a listing may display an aggregate Google Maps rating, such as a numerical rating and star indicator, obtained from Google Maps Platform. That rating is third-party information controlled by Google and may change over time.

If you click a rating or review-related link on Baipar, you may be directed to Google Maps to read reviews or leave a review there. Reviews submitted on Google Maps are governed by Google’s own terms, policies and moderation systems. Baipar does not control which Google reviews are published, removed or counted toward the displayed rating.

For other material you submit directly to Baipar, such as listing descriptions, photos, logos, messages or corrections (“User Content”), you retain ownership of content you own. By submitting User Content to Baipar, you give Baipar a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, adapt for technical presentation, distribute and otherwise use that content as reasonably necessary to operate, promote and improve Baipar. This licence ends when the content is deleted from active use, except for reasonable backups, legal records, content already shared by others, or material Baipar may lawfully retain.

Baipar may moderate, restrict, remove or decline to publish User Content submitted directly to Baipar where we reasonably believe it violates these Terms, law, platform integrity or the rights of others. We are not required to pre-screen every submission.

6. Photos, logos, trademarks and media

When you upload a logo, photo, video, trademark or other media, you confirm that you own it or have permission to allow Baipar to use it for the listing or service. You remain responsible for any licence, release or permission required for people, artwork, music, trademarks or other protected material contained in your upload.

Baipar may use publicly available entity-focused media for researched listings only where we have a reasonable basis to do so. Public visibility alone does not necessarily establish a right to republish. Rights holders may contact Baipar to request review or takedown of disputed media. Baipar may remove or replace media while a rights issue is assessed.

7. Acceptable use

You may use Baipar only for lawful purposes and in a way that does not interfere with the platform or other users. You must not:

  • Access or use another person’s account without permission, impersonate someone, or submit a false listing claim.
  • Scrape, harvest, copy or extract Baipar content at scale using automated means except where Baipar expressly permits it or applicable law gives you a right that cannot be restricted.
  • Attempt to bypass access controls, probe for vulnerabilities, introduce malicious code, overload the service or interfere with security measures.
  • Use Baipar to send spam, conduct fraud, manipulate Baipar search or rankings, or collect personal information for unlawful or unexpected purposes.
  • Copy, resell, reverse engineer or commercially exploit substantial parts of Baipar except as allowed by law or a written agreement with Baipar.
  • Use Baipar in a way that infringes intellectual property, privacy, publicity or other rights.

8. Search, rankings, recommendations and community connections

Baipar may organize, filter, rank or recommend listings using factors such as location, category, service area, listing completeness, user-selected filters, community or country connection, availability of information and aggregate platform activity. These systems may change over time.

A search position, badge, category, community connection or recommendation is a discovery feature, not a guarantee of quality, ownership, licensing, availability, suitability or endorsement. Users should independently verify information that matters to their decision.

9. Third-party services and transactions

Baipar listings may link to third-party websites, social networks, maps, booking providers, delivery services, payment processors or other services. Those services are operated by third parties and are governed by their own terms and privacy practices.

Unless Baipar expressly states that it is the seller or service provider for a particular transaction, Baipar is not a party to the transaction between you and a listed entity. The listed entity is responsible for its own products, services, pricing, availability, licences, warranties, refunds, performance and customer service.

Baipar does not guarantee the identity, qualifications, regulatory status, insurance, quality, safety or conduct of a listed entity merely because it appears on the platform. Where professional or regulated services are involved, verify credentials with the appropriate authority.

10. Paid features, subscriptions and promotions

If Baipar introduces paid listings, subscriptions, advertising, promotions or other paid products, the price, billing frequency, taxes, renewal terms, cancellation method and any applicable refund terms will be disclosed before purchase. Additional checkout terms may apply.

You authorize the applicable payment provider to process charges you approve. Baipar may suspend a paid feature for non-payment, chargeback abuse or material breach. Nothing in these Terms overrides cancellation, disclosure, refund or other rights that apply under mandatory consumer-protection law.

11. Baipar intellectual property

Baipar and its licensors own the platform software, design, branding, databases, original text and other content created by or for Baipar, excluding User Content and third-party material. “Baipar” and associated branding may be protected by trademark and other laws.

Subject to these Terms, Baipar gives you a limited, revocable, non-exclusive, non-transferable right to access and use the platform for its intended purposes. No other rights are granted unless Baipar agrees in writing.

12. Service availability and changes

Baipar may add, change, suspend or discontinue features, categories, search methods, listing fields or integrations. We may perform maintenance or experience outages. We do not promise that Baipar will always be available, uninterrupted or error-free.

We may correct, update or remove listing information where we reasonably believe it is inaccurate, obsolete, duplicated, unlawful, unsafe or inconsistent with platform standards.

13. Suspension and termination

You may stop using Baipar at any time and may request account closure through the available account or support process. Baipar may restrict, suspend or terminate an account, listing or feature where reasonably necessary to address fraud, security, legal risk, repeated complaints, non-payment, serious inaccuracy, rights violations or a material breach of these Terms.

Where appropriate, Baipar may provide notice and an opportunity to correct the issue. Immediate action may be taken where delay could cause harm, compromise security, violate law or materially affect platform integrity.

14. Disclaimers

Baipar is primarily an information, discovery and marketplace platform. To the maximum extent permitted by law, Baipar is provided on an “as is” and “as available” basis. We do not guarantee that every listing, price, hour, address, amenity, accessibility attribute, community connection, credential, Google Maps rating or other item of information is accurate, complete, current or suitable for a particular purpose.

Information on Baipar is not legal, medical, financial, immigration, professional or other specialized advice unless a specific service is expressly identified as such and provided by a properly qualified provider. You are responsible for evaluating a listed entity and the information relevant to your own decision.

15. Limitation of liability

To the maximum extent permitted by law, Baipar Inc. and its directors, officers, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising from or relating to Baipar, third-party services, listings or User Content.

To the maximum extent permitted by law, Baipar’s aggregate liability for a claim relating to the service will not exceed the greater of (a) the amount you paid directly to Baipar for the specific paid service giving rise to the claim during the 12 months before the event giving rise to liability, or (b) CAD $100, unless a higher amount is required by law.

These limitations do not apply where liability cannot legally be excluded or limited, including rights and remedies that applicable consumer-protection law makes mandatory.

16. Responsibility for business listings and indemnity

If you submit or manage a listing, upload content, or use Baipar on behalf of a business or organization, you are responsible for having the authority and rights necessary for that activity. To the extent permitted by law, you agree to indemnify and hold Baipar harmless from third-party claims, losses and reasonable costs arising from your material breach of these Terms, your unlawful User Content, or your infringement of another person’s rights. This section does not require an individual consumer to indemnify Baipar for matters for which an indemnity would be prohibited or unenforceable by law.

17. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory consumer or statutory rights to bring a claim elsewhere, disputes relating to these Terms or Baipar may be brought before the courts located in Ontario, Canada.

Before starting formal proceedings, we encourage you to contact Baipar so that we can try to resolve the issue. This does not limit any right to contact a regulator, consumer-protection authority or court where the law gives you that right.

18. Changes to these Terms

Baipar may update these Terms to reflect changes in the platform, law or business model. We will post the updated version and its effective date. If a change materially affects existing account holders or paid commitments, we will provide notice appropriate to the change and applicable law. Changes do not retroactively remove rights that have already accrued.
